Gina supported a multinational company of Spanish capital belonging to the Tourism sector, to install and obtain permits for its first international airline for regular flights in the Aviation sector. For this purpose, Gina led the processes of opening a branch in the Dominican Republic of the foreign capital company, and then the structuring, request and obtaining of the corresponding permits before the Dominican aviation entities (Specialized Security and Civil Aviation Corps, Board of Civil Aviation and the Dominican Institute of Civil Aviation), to start the Madrid-Punta Cana routes. Gina has identified the risks and contingencies in an operation of interest in M&A for a Client of Spanish capital from the tourism sector that has decided to acquire 80% of the capital of a Dominican company that owns assets of great value and particular benefits, concession contracts, as well as special permits related to the exploitation of tourist excursions in a protected area with restricted tourist activities. For this purpose, and based on the agreements with the counterparty, Gina designed an agreement for the Client for the sale of its movable assets with an unpaid seller’s privilege and oppositions to transfer, until the guarantee of the total balance of the operation was guaranteed. To this end, she also prepared all the corporate documentation and directs the registration and change of ownership processes before the corresponding entities.

Regarding M&A, Gina received a request from a multinational Client of German and Spanish capital with a presence in the Dominican Republic that has decided to reorganize its operations in the national territory, closing its tourist transport division. For these purposes, Gina evaluated for the Client the best structure for the sale of the fleet of 48 company vehicles, valued at USD$1,000,000.00, including the tax and corporate implications of a previous corporate structuring that was still in the process of execution. For this purpose, and based on the agreements with the counterparty, Gina designed an agreement for the Client for the sale of its movable assets with an unpaid seller’s privilege and oppositions to transfer, until the guarantee of the total balance of the operation was guaranteed. With this transaction, the Client has achieved a satisfactory and timely sale, with sufficient guarantees of receiving the balance that will allow him to have greater liquidity and continue his exploitation of the other operations of the company, aligned with his operating strategies.

Gina prepared and negotiated with the counterparty for the benefit of the multinational Client with French capital, from the hypermarket sector, an M&A project for the partial acquisition of goodwill of a Dominican supermarket for USD$400,000.00. To this end, the Client, as part of his business expansion strategy in the Dominican Republic, needed a commercial point in the city of Santo Domingo, for which Gina, together with the Firm’s team, identified in advance the potential risks of the acquisition through the execution of a legal corporate, fiscal, labor, industrial property, contractual and litigious Due Diligence, presenting the points of negotiation to include in the purchase and sale contract that she designed and negotiated with the counterparty for the benefit of the Client, with withholdings, deductions and adequate guarantees.

Intellectual property

In this case, Gina assisted the client, a Dominican Multiple Bank, in the review and update of its scheme of commercial technology contracts, for the implementation of a new structure of agreements for the development, implementation and maintenance of a new technological platform that allows the Client to offer its clients banking services. For this purpose, Gina analyzed and issued legal opinions on the structure of previous agreements, proposed the mechanisms for their termination preserving the Client’s guarantees, and worked together with the Client and in negotiation with the counterparty, the new agreements that include licenses of exploitation, protection of data and rights, and modifications and ownership of copyrights on the developments on the digital platform, also providing for the transfer of the patrimonial rights of intellectual property and execution schemes in the event of a change of control or conditions of execution of agreements.

Tourism

Gina assisted a multinational client with French capital, within the tourism sector, through the execution of Legal Project Management, with the construction and start-up of a hotel complex with an investment of USD$403,000,000.00. To this end, Gina supported the Client and structured, together with the surveyors and architects, the master plans and documents to request and obtain construction permits from the Ministry of Tourism, the Ministry of the Environment, the Higüey and Boca de Yuma City Halls, and the Ministry of Public Works for the execution of the works. In addition, he negotiated and mediated with the construction company for the construction of the project. Gina also got involved in mediation with the Macao community and the authorities to reconcile the approval of the new work. On the other hand, Gina negotiated on behalf of the Client a management agreement for the administration and operation of the first of the 3 Hotels that would make up the complex, and its subsequent Addenda. Also, Gina has mediated on behalf of the Client for the regeneration of mangroves, adaptation and mobilization of informal businesses and investments made by the Client as part of its commitment to corporate social responsibility, in support of the initiative of the Beach Regeneration plan. initiated by the Ministry of Tourism, particularly on the areas surrounding your property. As well, Gina has actively collaborated with the Client with the support, consultancy, management and preservation of the CONFOTUR Qualification in the processes that affect the land and particularly the project.

Free trade zone

Gina has assisted an international Client with a Panamanian parent company and who is dedicated to Call Center services, to open a branch in the Dominican Republic and eventual change of address for the implementation of a special free zone for services outside the free zone park . To this end, Gina assisted the client with the negotiation of a space lease contract and prepared the application file for the Client to obtain a free zone license, submitting the applications to the corresponding entities. Likewise, and as part of the process, she issued operational recommendations and designed the technical profile for the Client to make the project viable and obtain approval in accordance with Dominican regulations. Eventually, Gina was in charge of processing the specific permits at the Ministry of Finance and the General Directorate of Internal Revenue for the granting of the tax exemption card.

Administrativo

Gina asistió con el equipo de Negocios Corporativos al Cliente adjudicatario de una licitación pública para la contratación de servicios de salud adjudicado por la suma de RD$105,600,000.00, en un proceso de defensa a un recurso de impugnación administrativo interpuesto por la contraparte en el cual obtuvimos ganancia de causa. Eventualmente Gina asumió nuevamente la defensa del Cliente en un recurso de apelación interpuesto ante la Dirección General de Compras y Contrataciones y a la vez interpuso una defensa sobre medida cautelar que procuraba la suspensión de la ejecución del contrato adjudicado en beneficio del Cliente. En ambas instancias y acciones, Gina trabajó la estrategia y asumió la defensa para proteger los intereses del Cliente que exitosamente han sido preservados.

Aduanal

Gina ha asistido a un Cliente en un proceso administrativo fiscal Aduanal ante la Dirección General de Aduanas por efecto de un proceso de fiscalización de importaciones de productos de lencería en el cual la Administracion tributaria reliquidó las importaciones de un periodo de 2 años, a cuyo efecto emitió un certificado de deuda tributaria en detrimento del Cliente por la suma de USD$495,000.00. Gina participó activamente junto a los Agentes aduanales en el proceso de conciliación administrativa, y eventualmente preparó y argumentó las bases de defensa contra la decisión, en un proceso de reconsideración administrativa, al amparo de la Ley 4789 de Aduanas, y el Acuerdo del GATT de 1994, así como otras normas especiales en materia aduanera. Eventualmente Gina interpuso en representación del Cliente, un recurso de retardación, y un eventual recurso contencioso administrativo, y dirige actualmente un recurso de Casación ante la Suprema Corte de Justicia para garantizar el reconocimiento de los valores de transacción plasmados en los documentos de importación del Cliente.

Aviación

Gina apoyó a una empresa multinacional de capital español perteneciente al sector Turismo, a instalar y obtener los permisos de su primera aerolínea internacional para vuelos regulares en el sector Aviación. Al efecto, Gina lideró los procesos de apertura de sucursal en la República Dominicana de la sociedad de capital extranjero, y a seguidas la estructuración, solicitud y obtención de los permisos correspondientes ante las entidades dominicanas de aviación (Cuerpo Especializado de Seguridad y Aviación Civil, Junta de Aviación Civil y el Instituto Dominicano de Aviación Civil), para iniciar las rutas Madrid-Punta Cana. Eventualmente y fruto del éxito del Cliente, Gina ha asistido al Cliente en los procesos de enmiendas a los permisos emitidos para incorporar la ruta Santo Domingo. Asimismo, ha asistido al Cliente en múltiples procesos asociados a la operativa de aviación, tales como solicitudes de permisos especiales, registro y modificaciones de wet lease agreements, permisos de variación de frecuencias y notificación de los planes y programas de vuelos. Para este Cliente Gina también asiste en la preparación de la apertura de nueva división de otra empresa del Grupo para la implementación de vuelos con la aerolínea con sede en Portugal.

ASFL

Gina asiste a un Cliente que pertenece a un Grupo Corporativo de capital francés y estadounidense, para la incorporación de una asociación sin fines de lucro que promueve el consumo responsable y las acciones colaborativas junto a otros actores del sector, con miras a trabajar conjuntamente con el Gobierno Dominicano para la implementación de medidas y educación acorde los Objetivos ODS relativos a la sostenibilidad y responsabilidad dentro de las acciones ESG. Al efecto, acorde las necesidades del Cliente, Gina ha estructurado el esquema de funcionamiento de la asociación, preparando y consensuando las acciones, la administración y la operativa en los documentos de incorporación de la sociedad, previa recomendación de las opciones viables de registro de los signos distintivos que identificarán las campañas y las estrategias de esta fundación.

Compliance

Gina asistió al cliente, una empresa multinacional de capital español, en el proceso de revisión y adaptación en las empresas dominicanas del Grupo Corporativo, su Programa de Cumplimiento Corporativo, de conformidad con las leyes dominicanas, en materias de conducta, protección de información confidencial, blanqueo de capitales, anticorrupción, propiedad industrial e intelectual y protección de datos, protección del medio ambiente y prevención de delitos. Asimismo preparó para el cliente las actas y documentos corporativos de buen gobierno corporativo y designación del oficial de cumplimiento.

Contratos

Gina ha revisado, ajustado y negociado para el Cliente propietario de terrenos con vocación turística, un Memorando de Entendimiento para la explotación de los mismos con miras a implementar un escenario de experiencias temáticas en el desarrollo de eventos corporativos, y a la vez garantizar reservas hoteleras en un complejo turístico propiedad del Cliente. Al efecto, conforme las negociaciones iniciales entre las partes, Gina propuso los términos y condiciones con garantías jurídicas y derechos a favor del Cliente para asegurar el cumplimiento de los acuerdos a ser estructurados e implementados en una relación de larga duración, y con condiciones particulares relativas a la obtención de los permisos y las mejoras permitidas dentro de los terrenos.

En materia de contratos, su expertise se centra particularmente en temas de Ley 173. En este tema, Gina se ha destacado por ofrecer asesoría a sus clientes locales e internacionales en procesos de diseño, negociación y registro de contratos de agencia, distribución y representantes al amparo de esta normativa especial. Asimismo ha dirigido procesos de negociación, conciliación y terminación, así como cesiones de derechos y restructuración de contratos de esta naturaleza, garantizando conforme el interés de sus clientes sobre la registrabilidad de los mismos.

Corporativo

Gina ha identificado para un Cliente de capital alemán de consultoría especializada en certificación la mejor estructura corporativa y fiscal para la creación de un establecimiento permanente sobre una de las sociedades del Grupo localizada en España, a fin de que esta pueda ofrecer en la República Dominicana servicios de consultoría al Estado Dominicano bajo un contrato de RD$10,200,000.00.

Gina ofreció a un Cliente de inversión venezolana y estadounidense, a la estructuración corporativa y transformación societaria para establecer un nuevo modelo de negocios, con el diseño de un pacto de accionistas y acuerdos de retroventa para garantizar la funcionalidad operativa personalizada acorde a las necesidades del Cliente, evitando en todo caso el cambio de control de la sociedad y la dilución de la participación de los accionistas fundadores.

Debida Diligencia legal

Gina ha diseñado y dirige los trabajos junto con el equipo Alburquerque la estructuración para un Cliente de capital estadounidense en un proceso de Debida Diligencia legal que abarca temas corporativo, contractual, fiscal, laboral, litigioso e inmobiliario, a los fines de levantar una auditoría y ejecutar la regularización de estatus legal de dos empresas y sus activos muebles e inmuebles que incluyen un proyecto hotelero, y la previsión y solución a las contingencias actuales y eventuales de los mismos, para la venta de un desarrollo hotelero y un condominio de villas turísticas valorados en USD$4,336,506.

Derecho Internacional Privado

Gina ha ofrecido asesoría, consultoría y diseño e implementación de estrategias a los Clientes en materia de aplicación, ejecutoriedad y oponibilidad de los acuerdos internacionales de libre comercio de los que es parte la República Dominicana, tales como CAFTA-DR, EPA, Convenio de Doble Imposición entre el Reino de España y República Dominicana, Acuerdo de Doble Imposición entre República Dominicana y Canadá, Acuerdo de Alcance Parcial entre República Dominicana y Canadá.

Energía

Gina asistió a un Cliente propietario de un establecimiento hotelero en Santo Domingo, a gestionar y obtener la transferencia a su favor de la condición de Usuario No Regulado (UNR) en el Mercado Eléctrico Mayorista (MEM) ante la Superintendencia de Electricidad, luego de una acción conjunta con asesores técnicos que permitieran contabilizar y proyectar los aspectos técnicos y materiales idóneos para garantizar a favor del Cliente el traspaso exitoso considerando los incumplimientos y riesgos de la operación por el titular previo de la concesión. Así el Cliente tiene amplia libertad y manejo para contratar un acuerdo de Energía para el suministro en condiciones y tarifas favorables.

Gina asumió la dirección y negociación de un proceso de venta de un proyecto de energía renovable solar localizado en la parte sur del país, a cuyo efecto representó al Cliente en el proceso de revisión de los acuerdos y negociación de los términos de la compraventa en apego a los mejores intereses del Cliente, incluyendo los acuerdos de transferencia de acciones, acuerdo de gestión de energía, Term sheet sobre el fideicomiso de administración del proyecto. Term sheet del acuerdo de EPC, contrato de prenda de acciones, acuerdo de arrendamiento y demás términos de la operación, en medio del proceso de obtención de los permisos por las autoridades de electricidad, en apego a las disposiciones de las normativas sobre energía y en particular, las renovables.

ESG

Como parte de la implementación de la cultura de ESG, Gina ha colaborado activamente con múltiples clientes multinacionales y nacionales que buscan mejorar sus perspectivas medioambiental, social y de gobernanza corporativa, asesorándoles en su adecuación a estos criterios con miras a apoyarles en una gestión responsable y basada en los Objetivos de Desarrollo Sostenible y la normativa emergente relacionada con la sostenibilidad.

Financiero

Para un Cliente, Gina negoció la estructuración de acuerdos y estructuración de las garantías de un préstamo sindicado con dos bancos, uno de capital dominicano y otro panameño, logrando incluso la aceptabilidad de los acreedores de inscribir hipoteca en segundo rango, para un préstamo de USD$42,500,000.000, bajo la premisa de negociar y obtener la cancelación de una hipoteca preexistente en primer rango, lo cual fue gestionado y logrado también por Gina.

Gina ha asistido a un Cliente multinacional de capital español del sector Turismo que cuenta con 72 hoteles alrededor del Mundo en la estrategia y negociación de un contrato de financiamiento con garantías reales y prendarias por la suma de USD$330,000,000.00 para obtener un préstamo con el Banco Popular Dominicano para el desarrollo de un nuevo proyecto hotelero en la zona de Punta Cana.

Fiscal

Gina diseñó, junto con el Socio Director de la Firma y asesores expertos en estrategia fiscal así como los abogados de la contraparte, la arquitectura corporativa y fiscal para lograr la transferencia de sociedades, acciones, inmuebles y activos mobiliarios entre dos sociedades parte de un Grupo Corporativo formado por dos familias que decidieron separar sus negocios, cuyos activos netos fueron valorados en USD$15,640,000. Al efecto, Gina propuso y al efecto preparó los documentos para crear una estrategia de transferencia basada en operaciones parciales de permutas, compraventas y aportes en naturaleza, reduciendo así la carga fiscal a los clientes de ambas partes en apego a la normativa dominicana vigente.

Inmobiliario

Gina asistió al Cliente en un proceso complejo de radiación de una hipoteca en primer rango sobre uno de sus inmuebles inscrita por la suma de USD$49,700,000.00 a favor de un acreedor hipotecario consistente en una entidad de intermediación financiera que había sido liquidada forzosamente luego de una intervención por la Superintendencia de Bancos. Al efecto, Gina logró identificar dentro del proceso de liquidación ante la Superintendencia, los posibles cesionarios de las carteras de deudores dela entidad ejecutada, y luego de una exhaustiva investigación y negociación con dos entidades bancarias prexistentes, fue ubicada la titular de la hipoteca, en cuyo proceso Gina logró develar el saldo preexistente por el Cliente de dicha garantía, a cuyo efecto logró obtener los documentos de cancelación d la referida garantía, en beneficio del Cliente.

Inversión Extranjera

Gina ha asesorado a un Cliente para el registro de su inversión extranjera directa por RD$57,000,000.00, en inyección de capital a una sociedad dominicana del sector Retail. Asimismo le ha asesorado en los beneficios para la empresa y su personal directivo sobre dicho registro.

M&A

Gina ha identificado los riesgos y contingencias en una operación de interés en M&A para un Cliente de capital español del sector turismo que ha decidido adquirir el 80% del capital de una compañía dominicana propietaria de activos de gran valor y beneficios particulares, contratos de concesión, así como permisos especiales relativos a la explotación de excursiones turísticas en una zona protegida con actividades turísticas restringidas. A este efecto, Gina propuso al Cliente la estructura de los trabajos bajo la modalidad de Legal Project Management, iniciando con la ejecución de una Debida Diligencia Legal e identificación de riesgos y contingencias en la operación y la empresa adquirida; se encargó de consensuar con el Cliente y negociar con la contraparte las condiciones del contrato de compraventa. Además, y considerando la propuesta de Gina sobre la mejor estrategia de inversión, ejecutó la rescisión de un acuerdo previo de promesa de compraventa y preparó los documentos idóneos para la ejecución de un proceso coherente. Al efecto, también preparó toda la documentación corporativa y dirige los procesos de inscripción y cambio de titularidad ante las entidades correspondientes.

En materia de M&A, Gina recibió la solicitud de un Cliente multinacional de capitales alemán y español con presencia en la República Dominicana que ha decidido reorganizar sus operaciones en el territorio nacional, clausurando su división de transporte turístico. A esos efectos, Gina evaluó para el Cliente la mejor estructura para la venta de la flota de 48 vehículos de la empresa, valorada en USD$1,000,000.00, incluyendo las implicaciones fiscales y corporativas de una estructuración societaria previa que aun se encontraba en proceso de ejecución. Al efecto, y en base a los acuerdos con la contraparte, Gina diseñó para el Cliente un acuerdo para la venta de sus activos mobiliarios con un privilegio de vendedor no pagado y oposiciones a traspaso, hasta tener la garantía del saldo total de la operación. Con esta transacción, el Cliente ha logrado una venta satisfactoria y oportuna, con las garantías suficientes de recibir el saldo que le permitan contar con mayor liquidez y continuar su explotación de las demás operaciones de la empresa, alineado con sus estrategias de operación.

Gina preparó y negoció con la contraparte en beneficio del Cliente multinacional de capital francés, del sector hipermercado, un proyecto de M&A para la adquisición parcial de fondo de comercio de un supermercado dominicano por unos USD$400,000.00. Al efecto, el Cliente como parte de su estrategia de expansión de negocios en la República Dominicana necesitaba de un punto comercial en la ciudad de Santo Domingo, para lo cual Gina en conjunto con el equipo de la Firma, identificó anticipadamente los riesgos potenciales de la adquisición mediante la ejecución de una Debida Diligencia legal corporativa, fiscal, laboral, de propiedad industrial, contractual y litigiosa, presentando los puntos de negociación para incluir en el contrato de compraventa que diseñó y negoció con la contraparte en beneficio del Cliente, con las retenciones, deducciones y garantías adecuados.

Propiedad Intelectual

En este caso Gina asistió al cliente, un Banco múltiple dominicano, en la revisión y actualización de su esquema de contratos comerciales de tecnología, para la implementación de una nueva estructura de acuerdos para el desarrollo, implementación y mantenimiento de una nueva plataforma tecnológica que permite al Cliente ofrecer a sus clientes los servicios bancarios. A estos efectos, Gina analizó y emitió opiniones legales sobre la estructura de acuerdos previos, propuso los mecanismos de su terminación preservando las garantías al Cliente, y trabajó en conjunto con el Cliente y en negociación con la contraparte, los nuevos acuerdos que incluyen licencias de explotación, protección de datos y derechos, y modificaciones y titularidad de los derechos de autor sobre los desarrollos sobre la plataforma digital, previendo asimismo transferencia de los derechos patrimoniales de propiedad intelectual y esquemas de ejecución en caso de cambio de control o condiciones de ejecución de los acuerdos.

Turismo

Gina asistió a un Cliente multinacional de capital francés, dentro del sector turismo, mediante la ejecución de Legal Project Management, con la construcción y puesta en marcha de un complejo hotelero con una inversión de USD$403,000,000.00. Al efecto, Gina apoyó al Cliente y estructuró junto a los agrimensores y arquitectos, los master plans y documentos para solicitar y obtener los permisos de construcción de parte del Ministerio de Turismo, Ministerio de Medio Ambiente, los Ayuntamientos de Higüey y Boca de Yuma, y el Ministerio de Obras Públicas para la ejecución de los trabajos. Además, negoció e intermedió con la empresa constructora para la edificación del proyecto. Gina también se involucró en la mediación con la comunidad de Macao y las autoridades para conciliar el beneplácito de la nueva obra. Por otro lado, Gina negoció en representación del Cliente un acuerdo de gestión para la administración y operación del primero de los Hoteles de 3 que conformarían el complejo, y sus Addenda posteriores. En adición, Gina ha intermediado en representación del Cliente para la regeneración de manglares, adecuación y movilización de negocios informales e inversiones realizadas por el Cliente como parte de su compromiso de responsabilidad social corporativa, en apoyo a la iniciativa del plan de Regeneración de playas iniciado por el Ministerio de Turismo, particularmente sobre las áreas circundantes a su propiedad. También, Gina ha colaborado activamente al Cliente con el apoyo, consultoría, gestión y preservación de la Calificación de CONFOTUR en los procesos que inciden en los terrenos y particularmente sobre el proyecto.

Zonas Francas

Gina ha asistido a un Cliente internacional de matriz panameña y que se dedica a servicios de Call Center , a aperturar una sucursal en la República Dominicana y eventual cambio de domicilio para la implantación de una zona franca especial de servicios fuera de parque de zonas francas. Al efecto, Gina asistió al cliente con la negociación de un contrato de arrendamiento de espacio, y preparó para el Cliente el expediente de solicitud de obtención de licencia de zona franca, sometiendo las solicitudes ante las entidades correspondientes. Asimismo, y como parte del proceso, emitió las recomendaciones operativas y diseñó para el Cliente el perfil técnico para viabilizar el proyecto y obtener la aprobación en apego a la normativa dominicana. Eventualmente Gina se encargó de tramitar los permisos puntuales en Ministerio de Hacienda y la Dirección General de Impuestos Internos el otorgamiento del carnet de exención impositiva.
