Context:

The customer is a leading global wind energy corporation to which a Balance of Plant contract was awarded for the development of a 50MW installed capacity wind farm in the Dominican Republic.

Due to the large size of the project, and the obligations stipulated in the contract in charge of the client, it required tools such as Legal Project Management for the fulfillment of those obligations in the destination country.

The Firm advised on the comprehensive management of wind farm permits, licenses and authorizations, such as construction licenses, certificates of commissioning of electrical works and others. Offered consulting on BOP and EPC contracts; applicable laws; and financial closure and accountability of the project. It also carried out fronting and outsourcing of technical advice for the project.

Benefit:

The development of the wind farm successfully completed in 2019 in the amount of US$100,000,000.00. Leading to the connection to the National Interconnected Electricity System of a clean energy project in the north of the country, contributing to the diversification of the Dominican Republic’s energy mix.

Context:

The customer is a photovoltaic module manufacturing and installation company to which he was awarded a contract for the supply and installation of photovoltaic panels for a solar project with an installed capacity of 25MW in the Dominican Republic.

Because it was the first project developed by the client in the Dominican Republic, it required corporate, tax, contractual and labor advice in general to disembark for the first time and execute the development of said project in the country.

The Firm offered legal support for the establishment of a Dominican company, its incorporation into the relevant Chamber of Commerce and the General Direction of Internal Taxes. It also assisted in the incorporation and registration of employees with the relevant authorities, as well as provided comprehensive contractual and tax advice.

Context:

The client is a local photovoltaic project development company for self-consumption, which holds a concession for photovoltaic renewable energy generation in the south of the Dominican Republic, to develop a project of 50MW of installed capacity.

The client required legal assistance advising on the negotiation of a binding prior agreement for the majority sale of SPV shares to a new partner that would finance the development of the project. Important points such as energy purchase agreements, permit management, financing, equity division, dividend distribution, board of directors and others were negotiated and considered.

Benefit:

The client signed intent agreements for the majority acquisition of SPV shares with an international corporation for the successful development of the project, up from US$60,000,000.00.
